1. Who we are and what Memorias does
Memorias (the "Service") is a software-as-a-service application operated by Malenko Rostyslav, registered sole proprietor (ФОП) in Ukraine, tax ID 2604802573, registered address Dniprovs'ka naberezhna 19v, Kyiv 02081, Ukraine ("we", "us", "Memorias") and accessible at memorias.io and related domains.
Memorias helps you turn voice recordings of your memories into a written memoir book. You record audio, our software transcribes and processes it using third-party artificial intelligence services, and the Service produces a structured book-length text you can download as EPUB, PDF, or DOCX.
These Terms of Service (the "Terms") are a binding agreement between you and us. By creating an account, uploading content, or purchasing Memorias Credits, you agree to them. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 16 years old to use Memorias. By creating an account you confirm that you are at least 16 and that, where applicable law requires a higher age for processing personal data, you meet that higher age.
Memorias is not intended for children under 16. If we learn that we have collected data from a user under 16 we will delete the account and associated data.
You must also have the legal capacity to enter into a binding contract in your country of residence.
We may restrict access to the Service from jurisdictions subject to international sanctions or export restrictions.
3. Accounts
You create an account with an email and password, or by choosing "Continue with Google," in which case Google verifies your email and shares your name, email address, and profile picture with us (see our Privacy Policy). You are responsible for keeping your credentials — and any third-party login you use — confidential and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
We may suspend or terminate accounts that violate these Terms, appear fraudulent, or pose a risk to the Service or other users. In cases of clear abuse (spam, malware upload, attempts to extract other users' data) we may do so without prior notice.
4. Memorias Credits, purchases, and Merchant of Record
Purchases are sold through Paddle.com Market Limited ("Paddle"), acting as the Merchant of Record for all transactions. Paddle handles checkout, billing, VAT and sales tax collection, and issues the invoice. Your contract of sale for payment purposes is with Paddle; your contract for use of the Service is with us. By making a purchase, you also accept Paddle's Buyer Terms at https://www.paddle.com/legal/checkout-buyer-terms.
Memorias Credits are prepaid, non-transferable service credits. They are not a currency, cannot be redeemed for cash, and cannot be transferred between accounts. One credit reflects $0.01 of our internal processing cost; the retail price is $0.06 per credit. Credits are sold through Paddle as a single product — "100 credits = $6" multiplied by quantity — with a minimum top-up of 200 credits ($12); smaller amounts are disproportionately consumed by card and payment-processing fees.
Credits are consumed passthrough, after the fact, only for services we have actually and successfully delivered — transcription, session processing, book assembly. A failed or incomplete run does not consume credits; we debit your balance only for pipeline steps that complete and checkpoint successfully.
Two quality tiers, one credit currency. "Standard" (DeepSeek-hybrid models) and "Premium" (Anthropic Claude models) are not separate products and do not use separate credits — both spend the same Memorias Credits, at different rates. A Premium book costs more credits than an equivalent Standard book because Premium-tier processing costs more to run; the price of a credit itself never changes between tiers.
Before an expensive step — a full book assembly — begins, we show you an estimate of the credits it will require and block the start if your balance is clearly insufficient. Once a run is underway, running low on credits does not stop it partway through: your balance can run temporarily negative, and the shortfall is settled by your next top-up.
Expiry. Unused credits expire only after 36 consecutive months of complete account inactivity. We send warning emails at 60, 30, and 7 days before expiry. Any activity on your account — signing in, recording, editing — resets the inactivity clock to zero.
Right of withdrawal (14 days). If you are covered by EU, UK, or similarly protective consumer law, you may request a refund of your unused credit balance, prorated, within 14 calendar days of a purchase. At checkout you confirm that you want immediate access to the Service; this is what lets the 14-day right apply to your unused balance rather than being waived outright for anything already consumed. See our Refund Policy for the full mechanics.
We may change credit pricing prospectively for future purchases. Credits you have already bought keep the value and burn rate they had at the time of purchase.
- Credits never expire while your account remains active, and carry over automatically from one book to the next.
- A pre-assembly estimate is always approximate — a more talkative narrator means more recording minutes, which means more credits. The exact cost is confirmed before the expensive assembly step actually runs.
5. Family Archive add-on ($79 one-time)
The optional Family Archive add-on ($79, one-time purchase) keeps your assembled books, all of your original audio recordings, and living QR codes printed in the book "for as long as Memorias operates," with a guaranteed full export delivered to your email address if the Service ever shuts down.
Without Family Archive, raw audio recordings are retained for 12 months after your last book assembly, after which they are deleted. Transcripts and story atoms are kept regardless, so a book can still be reassembled without the original audio. We send reminder emails before audio deletion, with an offer to purchase Family Archive or download everything yourself first.
6. Fair use
Memorias is a personal memoir tool, intended for individuals creating books about their own lives, their families, and people they personally know. It is not a commercial publishing, ghostwriting-for-others, or content-mill service.
We reserve the right to contact you and, after reasonable notice, throttle, suspend, or terminate accounts that we believe are being used inconsistently with this section — including automated bulk generation, resale, or generation on behalf of undisclosed others without a written commercial agreement from us.
7. Your content
You retain all rights to the audio you upload and the books we generate from it ("Your Content"). By using the Service you grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, transcribe, analyze, and display Your Content for the sole purpose of providing the Service to you.
This license ends when you delete the content or your account, subject to the retention periods described in our Privacy Policy.
We do not sell Your Content. We do not share Your Content with advertisers. We do not use Your Content to train artificial intelligence models. If we ever decide to do so in the future, we will notify you in advance and require your explicit opt-in consent — see our Privacy Policy for details.
8. Your responsibilities regarding third parties mentioned in your memoir
This section matters more than any other in these Terms. Please read it carefully.
A memoir by its nature describes other people — family members, friends, colleagues, neighbours. These people are "data subjects" under privacy laws such as the GDPR and the CCPA, and they have rights that apply regardless of the fact that you are the one telling the story.
By uploading audio that mentions, describes, or identifies other people you represent and warrant that:
- You have the lawful basis to discuss these people in a personal memoir intended for your own use and for sharing with your chosen recipients;
- You will not upload content that is defamatory (false statements of fact presented as true that harm someone's reputation);
- You will not upload content that reveals special category personal data about identifiable third parties (health, sexual life, religious beliefs, racial or ethnic origin, political opinions, biometric data, trade-union membership, genetic data) except in the context of your own narrative about your own experience;
- You will not upload content obtained by illegal means (for example, unlawfully recorded conversations);
- You understand that if a third party mentioned in your memoir requests erasure or rectification of data about them, we may be required by law to honor that request, which may mean editing or removing portions of your generated book.
You agree to indemnify and hold us harmless against any claim brought by a third party arising from content you uploaded — including defamation, privacy violations, and claims by identified people who object to being written about. "Indemnify" here means that if someone sues us because of what you wrote about them, you are responsible for our reasonable legal costs and damages.
9. Acceptable use
You must not:
- Upload content that is illegal, infringing, or violates anyone's rights;
- Upload content that sexually exploits, sexualizes, or endangers minors;
- Upload content that incites violence, terrorism, or hatred against protected groups;
- Upload content you did not create or do not have rights to (for example, audiobooks or podcasts);
- Use the Service to impersonate another real person in a way that could mislead others;
- Attempt to reverse-engineer, scrape, or extract the underlying models, prompts, or infrastructure;
- Upload malware, exploit attempts, or content designed to harm the Service;
- Attempt to circumvent quota or rate limits;
- Use the Service on behalf of someone else without their consent and without disclosing it to us;
- Resell or sublicense the Service without a written commercial agreement from us;
- Generate or distribute sexually-oriented, pornographic, or adult commercial content through the Service — your memoir may discuss adult topics from your own personal experience as part of your own life story (see §7 and §8), but the Service is not to be used to produce commercial adult material;
- Use the Service to imitate the voice or distinctive speaking style of an identifiable real person without that person's consent (impersonation is already prohibited above; this clause covers stylistic imitation);
- Use the Service to generate content marketed as medical, legal, financial, or other regulated professional advice;
- Use the Service for political campaigning, paid political advertising, or coordinated social campaigning;
- Use the Service to generate any content that, if sold or distributed, would violate Paddle's Acceptable Use Policy (https://www.paddle.com/help/start/intro-to-paddle/what-am-i-not-allowed-to-sell-on-paddle). Staying within Paddle's policy is your responsibility, and a violation of Paddle's policy is also a violation of these Terms.
We may remove content and/or terminate accounts that violate these rules.
10. AI-generated content disclaimer
Memorias uses third-party artificial intelligence services — including products from Anthropic, DeepSeek, OpenAI, and Deepgram — to transcribe audio and generate the text of your book.
These systems:
- May mishear words, especially proper nouns and multilingual content;
- May introduce minor factual errors, incorrect dates, or paraphrased details;
- Generate prose based on statistical patterns and may occasionally produce text that does not perfectly match your recollection;
- Are not authoritative sources of historical fact.
You are responsible for reviewing generated books and correcting any errors before treating them as a final product. We make reasonable efforts to reduce hallucination and contradiction through our pipeline, but we do not warrant that generated text is factually accurate in every sentence.
The generated book is a derivative work based on your own recollections as you voiced them. It is not a factual record. Do not rely on it for legal, medical, financial, or historical purposes.
11. Availability and changes to the Service
We aim to keep Memorias available at all times but we do not guarantee uninterrupted access. We may perform maintenance, ship updates that change features, or — with reasonable notice — retire features that are no longer sustainable to operate.
If we materially reduce functionality in a way that affects credits you have already purchased, and there is no equivalent replacement, you may request a pro-rated refund of the affected unused balance.
12. Termination and deletion
You may close your account at any time by emailing [email protected] from the address on your account. We do not yet offer an automated, self-service deletion flow inside the app — every deletion or data-export request is handled by us directly, and we complete verified requests within 30 days.
You can also request a copy of your data at any time via the same email address. We deliver an export of your machine-readable data (transcripts, story atoms, Biographical record, books, questions, sessions metadata). Raw audio recordings are not included in the export by default; you can request a copy of them separately.
Upon closure, we permanently delete your story atoms, transcripts, Biographical record entries, questions, sessions, and generated books from our primary database, and remove your audio recordings, transcript files, and book files (EPUB, PDF, DOCX) from storage; any active Paddle purchase records are handled per Paddle's own retention rules, and pending AI processing tasks in our queue are canceled.
Anonymized audit records are retained after deletion where law requires it or where they support legitimate auditing of past transactions: transaction records are kept for up to 7 years (refund and chargeback investigations) with your `user_id` set to null; paid invoices are held by Paddle for 10 years under EU and US tax law.
Backups containing deleted content are overwritten in the normal course of backup rotation.
We may terminate your account for violation of these Terms, non-payment disputes, or extended inactivity. Where we terminate for cause, the standard 30-day completion window for a deletion request you initiate may not apply.
13. Intellectual property
The Service itself — our software, designs, prompts, models we've fine-tuned or built, and documentation — is our property or the property of our licensors. These Terms grant you a personal, non-transferable license to use the Service as intended; they do not transfer any intellectual property rights in the Service to you.
You retain all rights to Your Content as described in §7.
14. Warranties and disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Service will be error-free, uninterrupted, secure, or that the generated output will meet your expectations.
15. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability to you for any and all claims arising out of or relating to the Service or these Terms is limited to the greater of: (a) the amount you paid us (or Paddle, on our behalf) for Credits in the twelve months preceding the claim, or (b) USD 50.
We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, lost memories, or reputational harm — even if we were advised of the possibility of such damages.
Some jurisdictions do not allow these limitations, in which case they apply to you only to the maximum extent permitted in your jurisdiction. Nothing in these Terms limits liability that cannot be limited by law (for example, liability for fraud, for willful misconduct, or for death or personal injury caused by negligence).
16. Indemnification
You agree to indemnify, defend, and hold harmless Memorias, its operator, employees, and contractors from any third-party claims, liabilities, damages, or costs (including reasonable legal fees) arising from:
- Your breach of these Terms;
- Your Content, including claims by people mentioned in your memoir (see §8);
- Your violation of any applicable law;
- Your violation of a third party's rights, including intellectual property and privacy rights.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email to your account address at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the new Terms you may close your account (see §12).
"Material" means changes to payment terms, licensing scope, liability, data practices, or dispute resolution. Clarifications, typo fixes, and non-substantive edits do not require 30-day notice.
18. Governing law and disputes
These Terms are governed by the laws of Ukraine, without regard to conflict-of-laws rules. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ukraine, except where mandatory consumer protection law in your country of residence provides you with a non-waivable right to bring proceedings in your local courts.
Nothing in this section limits your statutory rights as a consumer under EU, UK, or other applicable consumer protection law.
19. Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
No waiver. Our failure to enforce a provision is not a waiver of the right to enforce it later.
Assignment. You may not assign these Terms without our written consent. We may assign these Terms to a successor entity.
Language. These Terms are drafted in English and Ukrainian. In the event of a conflict between the two versions, the English version controls.
